CNature of the Platform’s Role and Limitation of Liability

  • Technical intermediary role: Rekoura is solely a software and technology tool that facilitates connections and the organization and comparison of requests for quotation.
  • Disclaimer of liability: The Platform is not a party to any commercial contract or agreement concluded between the Buyer and the Supplier, and bears no legal or financial liability for:
    • The quality of the goods or services supplied, or their conformity with specifications.
    • Delays in delivery, or the Buyer’s refusal or delay in paying amounts due.
    • Any commercial or financial dispute arising between the two parties.
  • Service provided “as is”: The Platform’s services are provided in their current condition and subject to availability. The Platform makes reasonable efforts to ensure continuity of service, without guaranteeing that the service will be free of interruptions or technical errors at all times.
  • Liability cap: In all cases, the Platform’s maximum liability to any subscriber — whatever its cause — shall not exceed the total subscription fees actually paid by that subscriber during the one (1) month preceding the event giving rise to the claim.

DAnti-Circumvention

  • Use of official channels: Both the Buyer and the Supplier undertake that all correspondence, price submissions and negotiations relating to any opportunity identified through the Platform shall be conducted exclusively through Rekoura’s tools.
  • Prohibition of circumvention: Direct contact outside the Platform, or concluding deals covertly in order to avoid fees or subscriptions, is strictly prohibited.
  • Penalties for violation: If a violation of this clause is established, the Platform shall be entitled to:
    • Suspend or terminate the accounts of both violating parties immediately and without notice.
    • Claim financial compensation equal to the value of the subscriptions or fees due, while reserving the right to take legal action in accordance with Saudi laws.

ESupplier Award Commission

  • Commission rate: Where any request for quotation (RFQ) is awarded to a Supplier through the Platform, the Supplier shall owe the Platform a commission of one percent (1%) of the total value of the approved contract or purchase order.
  • When the commission becomes due: This commission constitutes a debt payable by the Supplier immediately upon announcement of the award, and remains recorded as a financial obligation of the Supplier until the full amount has been paid to the Platform’s account through the approved payment methods.
  • Independence of the obligation: The Supplier’s obligation to pay the commission remains in force and unconditional, regardless of when the Supplier collects the amounts due to it from the Buyer.

  5. Using automated tools (scraping / bots) to collect data from the Platform or about its users without prior written permission.
  • Suspension and termination: The Platform may suspend or terminate any account that violates these terms after notifying the account holder, or immediately in the case of serious violations. The subscriber retains the right to object through the official support channels.
  • Data after termination: Upon closure of the account, the subscriber may request a copy of its exportable business data within thirty (30) days of the closure date, after which the data will be deleted or anonymized in accordance with the retention policy set out in the Privacy Policy.

IIndemnification

The user undertakes to indemnify the Platform and hold it harmless from any claims, damages or costs (including reasonable attorneys’ fees) arising from the user’s breach of these terms, violation of any law in force in the Kingdom of Saudi Arabia, or infringement of the rights of any third party through the user’s use of the Platform.

JForce Majeure

The Platform shall not be liable for any delay or failure in performing its obligations where this results from circumstances beyond its reasonable control, such as natural disasters, outages of telecommunications and internet networks, large-scale cyberattacks, or emergency governmental and regulatory decisions.
